Tax redemption

An issuer's right to redeem an entire preferred series if specified tax events occur, such as a change in tax law that affects how the dividends or the instrument are treated.

Revised 22 October 2026 · Suggest a correction

A tax redemption lets an issuer redeem all, but not less than all, of a preferred series if "certain tax events" set out in the certificate of designations occur. The 8-K summaries do not list the events. The certificate defines them, and it is the place to check what qualifies.

How it applies to Strategy

The STRC summary says Strategy may redeem all STRC "if certain tax events occur". The price is the liquidation preference as of the business day before notice, plus accumulated and unpaid dividends, the same as a clean-up redemption (8-K, 29 July 2025). STRF, STRE and STRD have equivalent rights. For STRD, only declared and unpaid dividends are added.

STRK differs. Its tax redemption price is the greater of the liquidation preference and a five-day average trading price, plus unpaid dividends (8-K, 5 February 2025). This reflects STRK's conversion feature: if MSTR has risen, the trading price may be above the liquidation preference.

How it applies to Strive

SATA and SATS both include tax redemption rights at the liquidation preference plus accumulated dividends (SATS 8-K, 20 October 2026).

Why it matters

For most Strategy series without a general call, tax and clean-up redemptions are the only ways the issuer can retire the whole series at a set price. A tax redemption can happen without any change in the issuer's finances, so a holder could be redeemed at a time it did not plan for. Separately, Strategy has said it expects its preferred distributions to be treated as return of capital for US tax purposes. That expectation is unrelated to the redemption right.
